Constitution
ARTICLE I – Name
The name of this organization shall be Land O’ Lakes Photography Club.
ARTICLE II - Purpose
The aim of this club shall be: The mutual education and learning in the science and art of photography. To promote and encourage advancement of its members in the knowledge and practice of photography.
ARTICLE III – Membership
Any person interested in photography may become a member of this club as provided in the Bylaws.
ARTICLE IV – Officers
The officers of this club shall consist of a President, Vice President, Secretary, and Treasurer. All of these officers shall be elected by the members. The duties shall be as provided in the Bylaws.
ARTICLE V - Board of Directors
There shall be a Board of Directors consisting of the officers of the club, including Standing Committee Chairpersons, and the immediate past President.
ARTICLE VI – Vacancies
Section 1. In the event of absence, resignation, incapacity, death, or removal from office of the President, that office shall be taken over for the unexpired portion of the term by the Vice President. If for any reason the Vice President is unable to take over the office, the Secretary, then Treasurer shall assume the Presidency for the unexpired portion of the term, and shall appoint a new Secretary or Treasurer in his place. (The appointment is to be ratified by the Board of Directors.)
Section 2. If any office, except that of the President, shall become vacant for any reason, it shall be filled for the unexpired portion of the term by appointment by the President or his successor (ratified by a majority affirmative vote of the Board of Directors).
ARTICLE VII - Election of Officers
Officers shall be elected annually for a period of one year. Election procedure is provided in the Bylaws.
ARTICLE VIII – Meetings
Section 1. Regular meetings of the club shall be held as provided in the Bylaws.
Section 2. Such other meetings may be held as are or may be, specified in the Bylaws.
ARTICLE IX – Quorum
A quorum of the membership at a business meeting shall consist of not less than one-fourth of the membership of the club, based on the number of members in good standing.
ARTICLE X – Committees
The club shall have Standing Committees, as provided in the Bylaws, as soon as feasible after the election of the officers and shall continue to function until their successors qualify. The Chairperson of each standing committee shall be an ex-officio member of the Board of Directors.
ARTICLE XI – Fiscal year
The fiscal year of the club shall be from January 1 to December 31.
ARTICLE XII – Amendments
Any proposed revocation, addition, or amendment to this Constitution may be made as follows: The proposed revocation, addition, or amendment may be initiated by a majority affirmative vote of the Board of Directors or by not less than three members in good standing. It must be in writing duly signed by said directors or members at a business meeting of the club, at which at least a quorum is present. It shall then be discussed and tabled until the next business meeting at which at least a quorum is present, when it shall he voted upon by written ballot. To be adopted it must be passed by two-thirds of the qualified voters present.
ARTICLE XIII – Bylaws
Bylaws not in conflict with this Constitution may be enacted, amended, or revoked by a majority vote of the Board of Directors, subject to ratification by a majority vote of at least a quorum of members at the regular or special business meeting. Proposal for enactment, amendment, or revocation may be made by a majority affirmative vote of the Board of Directors, or by a letter undersigned by at least three members in good standing, and presented by a motion at a regular or special business meeting at which at least a quorum is present. Such proposed new Bylaw, or amendment, or revocation shall not be voted upon until the next business meeting following the one at which it was proposed. To be adopted, it must be passed by a majority of members present.
ARTICLE XIV – Approval of the Constitution and Bylaws
This constitution and attached Bylaws shall be declared adopted when they have been voted on and approved by at least two-thirds of the total number of members.

ARTICLE I – Membership
Any person who is interested in photography may be declared an active member of the club upon payment of dues. Dues are payable at each meeting.
ARTICLE II – Dues
Effective March 2019: Dues may be paid in advance at the rate of $2.00 per meeting per member for a period of not less than three months, ending at the end of the current calendar year. Effective July 2019: Dues are payable at each meeting in the amount of $3.00 per member or $5.00 per couple.
ARTICLE III – Nominations for Election of Officers
Section 1. The nominating committee, consisting of three members, shall be appointed by the President at the first meeting in October.
Section 2. This committee shall select nominees for the office of President, Vice president, Secretary, and Treasurer. All proposed nominees shall be approached as to their willingness to serve if elected, and their consent obtained before their name shall be nominated. The nominating committee shall present the nominees at the election meeting in November.
ARTICLE IV – Election of Officers
Section 1. The election shall take place at the November meeting. Additional nominations may be made from the floor at this meeting before nominations are closed. Those nominating members for offices must have the approval of the nominee and their nomination must be seconded to place the nominee on the ballot. Oral voting will be permitted except when there is more than one nominee. In that case, a written ballot shall he used. Election is by a majority vote of the members present at the election meeting. The President will vote only in the case of a tie.
Section 2. Installation of the newly elected officers shall be held at the January meeting and duties of officers will be assumed at that time.
ARTICLE V – Duties of Officers
Section 1. President. The President shall preside at all regular and special meetings of the club, serve as Chairman of the Board of Directors, shall be ex-officio member of all committees, and shall administer the affairs of the club with the assistance of the Board of Directors. He shall appoint all committees.
Section 2. Vice-president. The Vice-president shall preside at all regular and special meetings of the club in the absence of the President. In the event of the vacancy in the Office of the President, the VicePresident shall assume that office.
Section 3. Secretary. The Secretary shall keep a record of all meeting notes and schedules and any other records as directed by the President.
Section 4. Treasurer. The Treasurer shall collect all dues, keep a record of all members and of all receipts and disbursements and pay all bills as authorized by the President.
ARTICLE VI – Committees, their functions
Section 1. Competition and Exhibitions Committee. This committee will designate the theme, manner of display, voting, and recognition for photographic competitions and exhibits.
Section 2. Social and Field Trip Committee. This committee shall consist of at least three members. It shall be the duty of this committee to arrange for field trips and club social events.
Section 3. Technical Committee. This committee shall be responsible for all official club social media and Web presence.
Section 4. Education and Program Committee. This committee will select and arrange for programs to be presented at regular and special club meetings.
ARTICLE VII – Meetings
Section l. Regular meetings shall be held on the first Tuesday of each month.
Section 2. A special meeting may be called at the discretion of the President or majority of the Board of Directors.
ARTICLE VIII – Competition and Awards, Monthly competitions
The President shall announce the theme of the monthly competition no later than the meeting preceding the competition. The Competition and Exhibitions Committee shall have power to arrange for and manage the competitions and exhibits of this club.
